Welcome to ProEdge CRM for Small Business ("ProEdge CRM," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our cloud-based Customer Relationship Management (CRM) software and related services (collectively, the "Service"). By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms. If you disagree, please do not use the Service.
1. Acceptance of Terms
By signing up for an account or using the Service, you confirm that:
You are at least 18 years old and have the legal capacity to enter this agreement.
If acting on behalf of a business, you have the authority to bind that entity to these Terms.
ProEdge CRM offers a simple, cloud-based CRM platform built for small businesses. It helps you manage customer relationships, track sales, and streamline marketing efforts with features like:
Contact management
Sales tracking
Reporting tools
Third-party integrations
We may update, modify, or discontinue parts of the Service at our discretion. We’ll aim to notify you of significant changes in advance.
To use the Service, you’ll need to create an account with accurate and up-to-date information (e.g., your name, email, and business details). You’re responsible for:
Keeping your account credentials confidential.
All actions taken under your account.
You agree to:
Use the Service legally and in line with these Terms.
Keep your account information current.
Avoid sharing your login details or allowing unauthorized access.
Not upload viruses, malware, or harmful content.
Not disrupt or damage the Service.
You must not:
Attempt to reverse engineer or extract the Service’s source code.
Send spam or unsolicited messages through the Service.
Pretend to be someone else or misrepresent your identity.
Break any laws, including data privacy regulations.
ProEdge CRM owns the Service, including its software, logos, trademarks, and other intellectual property. You get a limited, non-exclusive, revocable license to use it for your business, as long as you follow these Terms.
You own all data and content you put into the Service ("User Data"). By using ProEdge CRM, you give us permission to use, store, and process your User Data to deliver and improve the Service.
If you share ideas or suggestions about the Service, we can use them freely without owing you compensation.
The Service operates on a subscription model. You’ll pay the fees for your chosen plan, as shown on our pricing page or in your agreement. Fees are non-refundable unless required by law.
You’ll provide a valid payment method (like a credit card). By doing so, you authorize us to charge it for all fees due.
If you don’t pay on time, we may suspend or terminate your access. You’ll cover any costs we incur from late payments (e.g., collection fees).
We can adjust subscription fees with prior notice. New rates will apply to your next billing cycle.
You control your User Data, and we process it on your behalf as your CRM provider.
Our Privacy Policy explains how we collect, use, and protect personal information. Using the Service means you agree to it.
We use reasonable measures to safeguard your User Data, but no system is 100% secure. We’re not responsible for breaches beyond our control.
You can cancel your account anytime via the Service or by contacting support. You’ll lose access, and any unpaid fees are due immediately.
We can suspend or end your access if you:
Violate these Terms.
Don’t pay on time.
Pose a risk to us or others.
Use the Service illegally.
When your account ends:
Your license to use the Service stops.
We’ll keep your User Data for a short period to meet legal needs, then delete it per our retention policy.
The Service is provided "as is" without guarantees. We don’t promise it’ll be error-free, uninterrupted, or immune to viruses.
To the fullest extent allowed by law, we’re not liable for indirect, incidental, or punitive damages from your use of the Service. Our total liability won’t exceed what you paid us in the last 12 months.
You’ll defend and cover ProEdge CRM’s losses (including legal fees) from claims tied to your use, misuse, or breach of these Terms.
These Terms follow the laws of [Insert State], ignoring its conflict-of-law rules.
Disputes will be settled through binding arbitration in [Insert City, State], following American Arbitration Association rules. No class actions are allowed.
We may update these Terms as needed. We’ll post changes here, update the "Last Updated" date, and notify you of big revisions. Using the Service after changes means you accept them.
11. Miscellaneous
These Terms, plus our Privacy Policy and Data Processing Agreement are the full deal between us about the Service.
If part of these Terms isn’t valid, the rest still applies.
Ignoring any rule here doesn’t mean we waive it.
You can’t pass these Terms to someone else without our okay. We can assign them anytime.
